QUEENS GENERAL TERMS
Date last modified: 21/06/2026
These General Terms apply to access to and use of websites, platforms and services provided by QUEENS MOTORS PTY LTD ACN 626 024 155 / ABN 27 626 024 155, trading as QUEENS and/or Q.Pipeline ("QUEENS", "we", "us" or "our").
By accessing or using our Services, you agree to these General Terms where they apply to you.
Dealers and other business customers may also enter into an Order Form and separate QUEENS Dealer Terms & Conditions. Where those additional terms apply, they form part of the agreement and prevail over these General Terms to the extent of any inconsistency.
These General Terms are a shorter public-facing summary layer and do not replace any Dealer Terms, Order Form, privacy schedule or other agreement specifically entered into between QUEENS and a business customer. This structure is consistent with the more detailed contractual framework in the current Dealer Terms.
1. Definitions
In these General Terms:
Authorised User means an employee, officer, contractor or other person authorised by a business customer to access or use the Services.
Dealer means a motor dealer, dealer group or other approved automotive business using the Services.
Order Form means an order, proposal, subscription agreement or similar document specifying Services supplied by QUEENS.
Personal Information has the meaning given under the Privacy Act 1988 (Cth).
Platform means the QUEENS and/or Q.Pipeline software, systems, applications, dashboards, websites and related technology.
Services means the products and services supplied by QUEENS.
Third Party Service means a third-party system, platform, software provider, data provider, communications provider, cloud provider or other third-party technology used in connection with the Services.
2. Our Services
QUEENS provides technology and related services to automotive businesses.
Services may include vehicle-related information, appraisal and valuation functionality, customer communications, dealership workflow tools, reporting, integrations and related services.
The particular Services supplied to a business customer are determined by the applicable Order Form or other written agreement.
QUEENS may modify, improve, replace or discontinue individual features from time to time.
Descriptions of planned, experimental, proposed or future functionality do not constitute a contractual commitment to provide that functionality unless expressly agreed in writing.
3. Business Use
The Services are primarily designed for business use by motor dealers, dealer groups and other approved automotive businesses.
A business customer must not permit unauthorised third parties to access administrative functions of the Platform.
4. Accounts and Security
Users are responsible for maintaining the confidentiality and security of their accounts and login credentials.
Business customers must take reasonable steps to:
limit access to Authorised Users;
use appropriate passwords and security controls;
protect devices, networks and systems used to access the Services;
protect API credentials, authentication tokens and integration credentials where applicable; and
promptly notify QUEENS of suspected unauthorised access or credential compromise.
Users must not attempt to bypass Platform security, access another person's data without authority, introduce malicious software or materially interfere with operation of the Services.
5. Authorised Users
A business customer is responsible for the acts and omissions of its Authorised Users in connection with the Services.
Actions taken through an Authorised User account will be treated as actions authorised by the relevant business customer unless the account was compromised because of QUEENS' breach of its own security obligations.
6. Customer and Business Data
Where a business customer provides information to QUEENS, that customer remains responsible for ensuring it has the rights, permissions and lawful authority necessary to provide and use that information.
As between QUEENS and the business customer, the business customer retains its rights in information supplied by or on its behalf.
QUEENS may access, store, use and process that information only as reasonably necessary to:
provide the Services;
support the business customer;
operate and secure the Platform;
investigate misuse or security issues;
improve the Services in accordance with applicable agreements; and
comply with applicable law.
Personal Information is handled in accordance with the QUEENS Privacy Policy and, where applicable, the Dealer Data Processing & Privacy Schedule.
7. Customer Communications
QUEENS may facilitate SMS, email or other communications on behalf of automotive businesses.
The business authorising a communication remains responsible for ensuring that it has a reasonable and supportable basis for sending that communication and complies with applicable privacy and electronic-messaging laws.
Where required, consent may be express or inferred where permitted by law.
Businesses must:
accurately identify the business responsible for the communication;
provide any unsubscribe facility required by law;
honour applicable unsubscribe and opt-out requests; and
not knowingly circumvent a valid suppression status.
Further requirements may apply under the QUEENS Messaging & Anti-Spam Policy and QUEENS Acceptable Use Policy.
8. Vehicle Information and Valuations
Vehicle information, Appraisals, Estimated Values and market information provided or facilitated through QUEENS are indicative only.
They may depend on information supplied by Dealers, Customers and Third Party Services.
QUEENS does not guarantee that an estimated value represents:
the price at which a Vehicle will ultimately be purchased or sold;
a guaranteed trade-in value;
a final retail, wholesale or private-sale value; or
a binding offer.
Actual Vehicle values may vary because of Vehicle condition, history, market movements, location and other relevant factors.
Unless expressly stated otherwise, QUEENS has not physically inspected a Vehicle.
9. Dealer Offers and Vehicle Transactions
QUEENS is not the purchaser or seller of a Vehicle merely because its technology facilitates an appraisal, valuation, communication or sales opportunity.
A binding Vehicle purchase, trade-in or other commercial offer exists only where the relevant Dealer or other identified purchaser expressly makes or confirms that offer.
QUEENS has no authority to bind a Dealer to a Vehicle transaction unless expressly agreed in writing.
10. Third Party Services
QUEENS may use Third Party Services in providing the Services.
These may include cloud infrastructure, vehicle and market-data providers, communications providers, dealership systems and other technology providers.
Third Party Services may experience outages, errors, delays, changes or discontinuation outside QUEENS' reasonable control.
QUEENS may add, replace or remove Third Party Services where reasonably necessary to operate, secure or improve the Platform.
A business customer must comply with mandatory Third Party Service requirements that reasonably apply to its use of QUEENS after being notified of those requirements.
11. Third-Party Integrations
Where a business customer requests or authorises QUEENS to connect with a Third Party Service of its choice:
the customer is responsible for ensuring it has the rights and authority necessary to enable the integration;
QUEENS does not control the operation, availability, security or contractual terms of the third-party system;
the customer remains responsible for complying with requirements applicable to its use of that third-party system; and
QUEENS is not responsible for failures caused solely by that third-party system outside QUEENS' reasonable control.
QUEENS may suspend an integration where reasonably necessary for security, legal, privacy or provider-compliance reasons.
12. Operational Directions and Cooperation
QUEENS may give reasonable operational directions concerning use of the Services where necessary for:
security;
privacy;
legal or regulatory compliance;
Third Party Service requirements;
prevention of fraud or misuse;
protection of Customers; or
protection of the Platform.
Business customers must reasonably cooperate with QUEENS and provide information reasonably required to provide, support, secure or administer the Services.
13. Service Availability
QUEENS will use reasonable efforts to maintain availability of the Services.
Services may occasionally be unavailable because of:
maintenance;
software updates;
telecommunications or internet failures;
cloud infrastructure;
Third Party Services;
dealership systems;
security incidents; or
circumstances outside QUEENS' reasonable control.
Unless a separate service-level agreement expressly states otherwise, QUEENS does not guarantee continuous or error-free operation.
QUEENS is not responsible for delays or failures caused by a customer's own systems, equipment, internet connection or Third Party Services outside QUEENS' reasonable control.
14. Message Delivery
QUEENS does not guarantee that every SMS, email or other electronic communication will be:
delivered;
received;
displayed;
read; or
responded to.
Delivery may depend on matters outside QUEENS' reasonable control, including communications providers, telecommunications carriers, recipient devices, invalid contact details, network conditions, filtering, suppression systems and third-party availability.
15. Intellectual Property
QUEENS and its licensors retain all Intellectual Property Rights in and relating to the Platform, QUEENS, Q.Pipeline, software, source code, APIs, interfaces, workflows, documentation, branding, templates and related technology.
Subject to applicable contractual terms, users receive only a limited right to access and use the Services for their authorised business purposes.
No ownership in QUEENS Intellectual Property Rights transfers to a user or business customer.
16. Acceptable Use
The Services must not be used:
unlawfully;
to send unlawful spam;
fraudulently or deceptively;
to misuse Personal Information;
to circumvent Customer opt-outs;
to impersonate another person or organisation;
to compromise Platform security;
to introduce malicious software;
to infringe third-party rights; or
in a manner that materially harms Customers, QUEENS or Third Party Services.
Users must not scrape, systematically extract or reverse engineer the Platform except through authorised functionality or to the extent expressly permitted by law.
QUEENS may restrict or suspend affected Services where reasonably necessary to address unlawful conduct, fraud, security risks, privacy breaches, messaging abuse or mandatory provider requirements.
Use of QUEENS may also be subject to the QUEENS Acceptable Use Policy.
17. Fees and Payment
Fees, subscription periods, usage allowances and payment arrangements for business customers are specified in the applicable Order Form or other written agreement.
Unless expressly stated otherwise, prices exclude GST.
Usage-based or third-party charges may apply where specified in the relevant agreement.
18. Privacy and Security
Each party must comply with privacy laws applicable to that party.
QUEENS will take reasonable technical and organisational measures appropriate to the nature of the information it holds to protect Personal Information and business data against misuse, interference, loss and unauthorised access, modification or disclosure.
No internet-based system can be guaranteed to be completely secure.
Further information is available in the QUEENS Privacy Policy, Dealer Data Processing & Privacy Schedule and Data Hosting & Subprocessors information where applicable.
19. Policies
Use of the Services may also be subject to policies published or provided by QUEENS, including where applicable:
QUEENS Privacy Policy;
QUEENS Dealer Data Processing & Privacy Schedule;
QUEENS Acceptable Use Policy;
QUEENS Messaging & Anti-Spam Policy;
QUEENS Complaints Handling Policy; and
QUEENS may update these policies where reasonably necessary because of changes in law, regulation, technology, security, Third Party Services or business operations.
Where practicable, QUEENS will provide reasonable notice of material changes that adversely affect a business customer's use of paid Services.
20. Liability
Nothing in these General Terms excludes, restricts or modifies a right or remedy that cannot lawfully be excluded or limited.
To the maximum extent permitted by law, QUEENS does not guarantee particular commercial outcomes from use of the Services, including:
sales;
leads;
Vehicle acquisitions;
conversion rates;
Appraisal outcomes;
Vehicle transaction prices; or
successful delivery of Customer communications.
Where separate Dealer Terms or another written agreement applies, the liability, indemnity and warranty provisions in that agreement govern the relevant Services.
21. Suspension and Termination
QUEENS may restrict or suspend affected Services where reasonably necessary because of:
unlawful use;
fraud or suspected fraud;
serious security risk;
privacy or messaging violations;
unauthorised access;
non-payment of undisputed amounts;
material breach of applicable terms;
regulatory or legal requirements; or
mandatory Third Party Service requirements.
Where reasonably practicable, QUEENS will notify the business customer and work with it to address the issue.
Dealer subscription terms, termination rights, notice periods and the consequences of termination are governed by the applicable Order Form and Dealer Terms.
22. Changes to the Services and Terms
QUEENS may update these General Terms or modify the Services where reasonably necessary because of:
changes in law or regulation;
security requirements;
technology changes;
Third Party Service requirements;
Platform changes; or
legitimate operational requirements.
Material changes will not apply retrospectively unless required by law.
The current version of these General Terms will be made available on the QUEENS website.
23. Entire Agreement and Reliance
Where an Order Form or separate Dealer agreement applies, those documents, together with any policies or schedules expressly incorporated into them, constitute the agreement concerning the relevant Services.
A demonstration, proposal, website statement, discussion or other communication does not create a contractual commitment unless it is expressly included in the applicable agreement.
Nothing in this clause excludes liability that cannot lawfully be excluded.
24. No Partnership or Agency
Nothing in these General Terms creates a partnership, joint venture, employment relationship or agency relationship between QUEENS and a business customer.
Neither party may bind the other except where expressly authorised in writing.
QUEENS' facilitation of communications, Vehicle information or appraisal functionality does not make QUEENS the purchaser, seller or agent of the Dealer in a Vehicle transaction.
25. Assignment
A business customer may not assign or transfer its rights under an applicable agreement without QUEENS' written consent, which will not be unreasonably withheld.
QUEENS may assign or transfer its rights and obligations as part of a bona fide corporate restructure, merger, acquisition, sale of business or transfer of substantially all relevant business assets, provided the relevant successor assumes QUEENS' material obligations.
26. No Waiver and Severability
Failure or delay by either party in exercising a right does not waive that right.
If any provision of these General Terms is invalid or unenforceable, it will be read down to the minimum extent necessary where possible.
If it cannot reasonably be read down, it will be severed and the remaining provisions will continue in effect.
27. Governing Law
These General Terms are governed by the laws of Queensland, Australia.
The parties submit to the non-exclusive jurisdiction of the courts of Queensland and the courts of the Commonwealth of Australia having jurisdiction in Queensland.
