Capitalised terms have the meaning given in the QUEENS Dealer Terms & Conditions.
1. Permitted use
The Services may only be used for legitimate business activities connected with the Dealer's automotive operations.
The Dealer must not use the Services for unlawful, fraudulent, deceptive or unrelated mass-marketing activities, or in any way that creates material legal, regulatory, privacy, security or reputational risk for Customers, QUEENS or a Third Party Service.
2. Customer communications
Where QUEENS is used to send or facilitate SMS, email or other electronic communications, the Dealer must have a reasonable and supportable basis for sending those communications.
The Dealer must not:
send unlawful spam;
send Commercial Electronic Messages without a reasonable basis for the consent relied upon;
send applicable marketing communications to Customers who have opted out;
bypass unsubscribe or suppression controls;
misrepresent the identity of the sender; or

3. Vehicle, appraisal and offer communications
The Dealer must not use QUEENS to make false, misleading or deceptive representations concerning:
Vehicle values;
Appraisals;
Estimated Values;
Dealer Offers;
market conditions;
Vehicle demand; or
trade-in or upgrade opportunities.
An indicative Appraisal or Estimated Value must not be represented as a guaranteed purchase price or unconditional Dealer Offer unless that is factually correct.
The Dealer must not represent QUEENS as the purchaser of a Vehicle unless QUEENS has expressly agreed in writing to act in that capacity.
4. Prohibited content and conduct
The Services must not be used to send, store, publish or facilitate content or conduct that:
is unlawful, fraudulent, defamatory or materially misleading;
unlawfully infringes privacy, confidentiality or Intellectual Property Rights;
is threatening, abusive or harassing;
promotes criminal conduct;
contains malware or harmful code;
involves phishing, impersonation or deceptive collection of Personal Information; or
is reasonably likely to cause material harm to a Customer or another person.
5. Personal Information
The Dealer must only use Personal Information through QUEENS where it has lawful authority to do so.
The Dealer must not upload unlawfully obtained information, use Client Data for an unlawful purpose, provide information it is prohibited from disclosing or attempt to access information to which it is not entitled.
The Dealer remains responsible for its own collection, use and disclosure of Customer information.
6. Account and Platform security
The Dealer and its Authorised Users must take reasonable steps to protect access to the Platform.
Users must not:
share credentials with unauthorised persons;
attempt to access another Dealer's account or data;
bypass authentication or security controls;
disclose passwords, API credentials, tokens or integration keys;
introduce malware;
perform unauthorised penetration testing;
scrape or systematically extract data except through an authorised interface;
reverse engineer the Platform except to the extent permitted by law; or
interfere with the operation or availability of the Services.
Suspected credential compromise or unauthorised access must be reported to QUEENS without unreasonable delay.
7. Third Party Services and integrations
QUEENS may rely on Third Party Services.
The Dealer must comply with mandatory provider requirements that reasonably apply to its use of the Services and have authority to connect QUEENS to any third-party system it authorises.
QUEENS may restrict or disable functionality where reasonably necessary to comply with law, satisfy a provider requirement, protect Customers, maintain security or prevent suspension of a Third Party Service.
9. Dealer responsibility
The Dealer is responsible for ensuring that its employees, contractors and Authorised Users comply with this AUP.
Actions performed through an Authorised User account may be treated as actions of the Dealer in accordance with the Dealer Terms & Conditions.
10. Enforcement
Compliance with this AUP is mandatory.
Where QUEENS reasonably believes that the Dealer or an Authorised User has breached this AUP, QUEENS may take proportionate action, including:
issuing a warning;
requiring corrective action;
blocking a communication;
restricting messaging functionality;
suspending an Authorised User, integration or affected Service; or
terminating Services where permitted under the Dealer Terms & Conditions.
QUEENS may act immediately where reasonably necessary to prevent unlawful messaging, fraud, privacy harm, security risk, breach of a Customer opt-out, provider suspension or material harm to Customers or the Platform.
Where reasonably practicable, QUEENS will notify the Dealer of the action taken.
11. Investigations and legal cooperation
QUEENS may investigate suspected misuse of the Services.
The Dealer must provide reasonable cooperation in relation to Customer complaints, regulatory enquiries, suspected unlawful messaging, privacy issues, fraud, security incidents or Third Party Service enquiries.
QUEENS may disclose relevant information where required or authorised by law.
12. Changes to this AUP
QUEENS may update this AUP to reflect changes in law, regulation, security requirements, Third Party Service requirements or Platform operation.
Where an update materially affects the Dealer's obligations, QUEENS will provide reasonable notice where practicable.
Changes required urgently for legal, security or provider-compliance reasons may take effect immediately.
13. Relationship with Dealer Terms
This AUP forms part of the QUEENS Dealer Terms & Conditions.
